Digi International® annonce l'acquisition de FS Forth-Systeme GmbH et Sistemas Embebidos S.A.

- Création de la plus vaste gamme de solutions de mise en réseau basées sur ARM -

PARIS (5 Avril 2005)Digi International (NASDAQ : DGII) a annoncé lacquisition des sociétés FS Forth-Systeme GmbH et Sistemas Embebidos S.A., deux grands fournisseurs de modules et de logiciels intégrés destinés au marché en rapide expansion de la mise en réseau embarquée.

Lacquisition de FS Forth et Sistemas Embebidos apporte instantanément une vaste gamme de modules de mise en réseau intégrée disponibles dans le commerce, reposant sur larchitecture hautes performances NET+ARM" et prenant en charge les logiciels intégrés de loffre de produits embarqués de Digi. Cet achat apporte en outre un savoir-faire pour une variété de systèmes dexploitation courants tels que Linux, Windows CE et VxWorks®. Alliée à la gamme de microprocesseurs réseau 32 bits NET+ARM" de Digi et à lenvironnement de développement complet NET+Works®, cette opération renforce la place de leader occupée par Digi, qui propose désormais la plus grande variété de produits de mise en réseau embarquée à coeur ARM. 

Le montant de la transaction comprend un paiement initial de 4,4 millions de dollars, susceptible dajustements après clôture, et des paiements supplémentaires étalés sur une période de deux ans. Ces derniers dépendront de la réalisation de certains objectifs par FS Forth et Sistemas Embebidos. Anciennement propriétés de Embedded Solutions AG Allemagne, ces deux sociétés privées agiront en tant quentités juridiques distinctes mais apparaîtront dans les états financiers consolidés de Digi International. Digi estime que la rentabilité de lacquisition se reflètera sur ses revenus dès lexercice fiscal 2005.
